Terms of Service

These terms ("Terms") govern your use of Tightly ("Tightly", "the service", "we", "us"), operated by Magnus Jerono, registered as an eenmanszaak (sole trader) in the Netherlands. By creating an account, you agree to these Terms, our Privacy Policy, and if applicable, our Data Processing Agreement. If you do not agree, please do not use the service.
1. Who we are
The service is operated by Magnus Jerono, eenmanszaak, Netherlands (KvK registration on request).

2. Your account
- You must be at least 13 years old (16 in the EU/EEA) to create an account.
- You are responsible for keeping your login credentials secure. Enable two-factor authentication if available.
- One person per account. You may not sell, transfer, or share your account credentials.
- You may use the service for personal or internal business use. For multi-user deployments or commercial wrapping of the service, see Section 4 (Acceptable Use) and the AGPL-3.0 licence restrictions.
3. Your content and intellectual property
3.1 Your ownership
You retain full ownership of everything you create in Tightly: journal entries, photos, voice recordings, transcripts, AI-generated drafts (which you may edit), and any other content.
3.2 Licence to us
You grant us a limited, non-exclusive, worldwide licence to:
- Store, back up, and encrypt your content
- Process your content to provide service features (search, tags, book organisation, export)
- Send relevant content to AI providers (OpenAI) when you explicitly trigger AI features (e.g., "Generate story", "Transcribe voice note")
- Display your content to you and any collaborators you invite
This licence ends when you delete your account or delete specific content.
3.3 Your responsibilities
You represent and warrant that:
- You have the right to upload all content you add to Tightly
- Your content does not infringe copyright, trademark, privacy, publicity, or other rights of third parties
- Your content does not violate any applicable laws
3.4 Third-party data responsibilities
⚠️ Important: Writing about others
When you write about other people (family, friends, colleagues), you are the
data controller under GDPR for their personal information. We are only the
data processor. You must ensure you have a lawful basis (consent, legitimate interest, etc.) to process that data, especially if you share it via collaboration features or exports. See our
Privacy Policy § 9 for details.
3.5 Prohibited content
Do not upload content that:
- Depicts minors in a sexual or exploitative context (CSAM)
- Promotes violence, terrorism, or credible threats
- Violates someone's rights (copyright infringement, non-consensual intimate images)
- Is illegal under Dutch or EU law, or the laws of your jurisdiction
We reserve the right to remove such content and terminate your account immediately, with or without notice, and to report illegal content to authorities.
4. Acceptable use
You may use Tightly for personal journaling or internal business use (team journaling, project logs, etc.). You may not:
- Attempt to bypass rate limits, billing, or security controls
- Scrape, crawl, or automate the service beyond your own personal or internal use
- Use AI features to generate hate speech, harassment, or content targeting real individuals without their consent
- Resell access to Tightly as a commercial service without our written consent
- Reverse-engineer, decompile, or extract source code from our non-open-source components (proprietary server logic, API keys)
4.1 Open-source and AGPL-3.0 context
The Tightly codebase is available under the AGPL-3.0 licence at github.com/MagnusJerono/memory-journal. You are free to:
- Fork, modify, and self-host Tightly for your own use
- Contribute improvements back to the project
- Study the code for security or educational purposes
However, if you run a modified version as a network service accessible to others, the AGPL-3.0 requires you to:
- Make your modified source code available to your users
- License it under AGPL-3.0 or compatible
- Attribute the original Tightly project
If you wish to use Tightly code in a proprietary service, contact us to discuss a commercial licence.
5. Free and premium tiers
Tightly offers a free tier with generous but capped AI usage (see in-app usage indicators). Premium tiers (when offered) unlock:
- Higher AI quotas (more AI-generated stories, transcripts, image analysis per month)
- Advanced features (collaboration, advanced search, custom exports)
- Priority support
Pricing will be shown clearly before purchase. Subscriptions are billed monthly or annually, and you can cancel at any time.
5.1 Payment processing
Payments are processed by third-party providers:
We do not store your full credit card details. Refunds are handled case-by-case; contact hello@tightly.nl within 14 days of purchase if you believe you are entitled to a refund under consumer protection law.
5.2 Subscription changes and cancellation
- You can cancel your subscription at any time in Settings → Billing.
- Cancellation takes effect at the end of your current billing period; you retain access until then.
- No refunds for partial months/years, except where required by law (e.g., EU consumer right of withdrawal within 14 days of purchase, if you haven't used the premium features yet).
- We may change pricing with at least 30 days' notice. Existing subscribers keep their old price for one billing cycle after notice.
6. Availability and service changes
The service is provided on an "as is" and "as available" basis. We aim for high availability (99.5% uptime target) but do not guarantee uninterrupted operation. We may:
- Perform scheduled maintenance (with advance notice when possible)
- Change, pause, or discontinue features, with reasonable notice for material changes affecting paid users (at least 30 days)
- Impose rate limits to prevent abuse or manage infrastructure costs
If we discontinue a paid feature, you may request a pro-rata refund for the remaining subscription period.
7. AI features and limitations
Tightly uses large language models from OpenAI to power optional features such as:
- Generating story titles and summaries
- Transcribing voice recordings
- Analysing and describing photos
- Suggesting writing improvements
7.1 AI output disclaimer
Important: AI-generated content may contain mistakes, invented details, or biases. Treat all AI outputs as drafts that you review and edit, not as verified facts. We are not responsible for decisions you make based on AI-generated content.
7.2 No model training on your data
We do not use your content to train, fine-tune, or evaluate any AI model. OpenAI's API terms prohibit training on API customer data (openai.com/enterprise-privacy). OpenAI retains API requests for 30 days for abuse monitoring, then permanently deletes them.
7.3 Opt-out
You can disable AI suggestions globally in Settings → Writing Style. AI features are always opt-in per action; if you never tap "Generate story" or similar, no content is sent to AI providers.
8. Collaboration features
When you invite someone to collaborate on a journal entry or book:
- You remain the data controller for the content under GDPR
- Collaborators have limited access (view-only or edit, depending on the role you assign)
- Only owners can invite/remove collaborators and delete entries
- Collaborators must also comply with these Terms and GDPR for any third-party data they access or add
- You indemnify us against claims arising from your collaborators' actions
9. Export, print, and third-party services
9.1 Export and data portability
You can export your journal at any time (Settings → Data & Privacy → Export). The export includes all entries, photos, and metadata in a machine-readable JSON format.
9.2 Print services (optional)
If you order a physical printed journal (via our integration with Lulu xPress or similar), you agree that:
- The print provider's terms apply to printing, shipping, and returns
- We are not responsible for print quality, shipping delays, or lost packages (contact the print provider)
- Your content is sent to the print provider only for the purpose of fulfilling your order
- The print provider deletes your content after printing (typically 30-90 days), except where required by law
10. Termination
10.1 Your right to terminate
You may delete your account at any time from Settings → Delete Account. Deletion is immediate and irreversible. All your content is permanently deleted from active storage and from backups within 30 days.
10.2 Our right to terminate
We may suspend or terminate your account if you:
- Violate these Terms (especially § 3.5 Prohibited Content or § 4 Acceptable Use)
- Engage in abuse, fraud, or attempts to harm the service or other users
- Fail to pay subscription fees (after 7 days' notice)
We will provide notice and an opportunity to cure, except in cases of illegal content, security threats, or repeat violations, where termination may be immediate.
10.3 Effect of termination
Upon termination:
- Your access to the service ends immediately
- Your content is deleted as described in § 10.1
- No refunds for partial subscription periods, except where required by law
- Sections that by their nature should survive (liability disclaimers, indemnification, governing law) remain in effect
11. Liability and disclaimers
11.1 No warranties
To the maximum extent permitted by law, Tightly is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:
- Merchantability — no guarantee the service is suitable for your purposes
- Fitness for a particular purpose — you use the service at your own risk
- Non-infringement — we do not warrant that user content or AI outputs are free of IP claims
- Accuracy — AI-generated content may contain errors; we are not liable for reliance on it
- Data loss — while we maintain backups, you should export your own copies regularly
11.2 Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, goodwill, or business opportunities.
- Our total liability to you for any claim is limited to the lesser of:
- €100, or
- The amount you paid us in the 12 months before the claim
Exceptions: Nothing in these Terms limits liability that cannot be limited under applicable law, including:
- Fraud or fraudulent misrepresentation
- Wilful misconduct or gross negligence
- Death or personal injury caused by our negligence
- Mandatory consumer protection rights under EU or Dutch law
11.3 Indemnification
You agree to indemnify and hold harmless Tightly, its operators, employees, and service providers from any claims, damages, or costs (including legal fees) arising from:
- Your violation of these Terms
- Your content (including third-party data you process unlawfully)
- Your violation of any third-party rights
- Your collaborators' actions (you are responsible for whom you invite)
12. Governing law and disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-laws rules. Disputes will be resolved in the competent courts of the Netherlands.
EU consumer protection: If you are a consumer in the EU/EEA, nothing in these Terms limits your statutory rights, including the right to bring proceedings in the courts of your country of residence.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date above
- Notify active users by email or in-app banner at least 14 days before the change takes effect
Continued use of the service after the change means you accept the updated Terms. If you do not agree, you may delete your account before the change takes effect.
14. Miscellaneous
14.1 Entire agreement
These Terms, together with the Privacy Policy, Cookie Policy, and (if applicable) Data Processing Agreement, constitute the entire agreement between you and Tightly.
14.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
14.3 No waiver
Our failure to enforce a right or provision does not waive our right to enforce it later.
14.4 Assignment
You may not assign these Terms. We may assign them to a successor entity (e.g., in case of acquisition) with notice to you.
14.5 Force majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, strikes, war, internet outages, third-party service failures).
